CUZAKE Terms and Conditions
Last Updated: September 2026
These Terms and Conditions ("Terms") govern access to and use of CUZAKE websites, products, subscriptions, professional services, managed services, AI-powered services, telephone services, digital services, and related offerings (collectively, the "Services").
In these Terms, "CUZAKE," "we," "us," and "our" refer to the business operating under the CUZAKE name. "Customer," "you," and "your" refer to the individual or organization purchasing, accessing, or using the Services.
Please read these Terms carefully before purchasing or using CUZAKE Services.
By purchasing, subscribing to, authorizing, accessing, or using a CUZAKE Service, you acknowledge that you have read, understood, and agreed to these Terms and our Privacy Policy.
If you purchase or use Services on behalf of a business or organization, you represent that you have authority to bind that organization to these Terms.
If you do not agree to these Terms, do not purchase or use the Services.
1. CUZAKE Services
CUZAKE provides technology, digital, creative, consulting, and managed business services.
- AGENT — AI-powered website customer support customized for a business.
- BRAND — Professional digital presence services that may include website-related work, digital content, business messaging, organization of information, and related digital experience services.
- VOICE — Managed business telephone services that may include a business telephone number, call routing, voicemail, forwarding, notifications, and related telephone configuration.
- Other Services — CUZAKE may also provide complementary services such as graphics, video, voiceover, User Experience (UX) services, consulting, and other agreed project services.
The specific scope of a Customer's Service is determined by the Service selected and any applicable proposal, order, invoice, written scope, configuration, or other agreement between CUZAKE and the Customer. Not every feature described on the CUZAKE website is included with every Service.
2. No Requirement to Purchase Multiple Services
AGENT, BRAND, and VOICE are separate Services. Customers are not required to purchase all CUZAKE Services. CUZAKE may recommend Services based on information provided by the Customer, but the Customer remains responsible for deciding which Services are appropriate for the Customer's business.
3. Customer Information and Cooperation
CUZAKE Services depend on accurate information and timely cooperation from the Customer. The Customer agrees to provide information, materials, approvals, access, credentials, content, instructions, and decisions reasonably necessary for CUZAKE to perform the agreed Services. The Customer is responsible for the accuracy, completeness, legality, and reliability of information provided to CUZAKE.
CUZAKE is not responsible for delays, errors, additional costs, or service limitations resulting from incorrect or missing information, delayed approvals or responses, inaccessible systems, incorrect credentials, changes made by the Customer or another provider, or failure to provide required materials. Project schedules or estimated completion dates may change when Customer information, approvals, or cooperation are delayed.
4. Customer Content
"Customer Content" includes text, photographs, logos, trademarks, graphics, video, audio, documents, business information, product information, customer information, and other materials supplied by or on behalf of the Customer. The Customer retains ownership of Customer Content to the extent the Customer owns that content. By providing Customer Content to CUZAKE, the Customer grants CUZAKE a non-exclusive license to use, reproduce, modify, format, process, host, transmit, or otherwise use that content as reasonably necessary to provide the Services. The Customer represents that the Customer owns the Customer Content or has all permissions, licenses, releases, and legal rights required for CUZAKE to use it. The Customer is responsible for obtaining necessary permissions for Customer Content.
5. Customer Responsibility for Business Information
Customers are responsible for reviewing business information before it is published, configured, or made available to customers. This includes, where applicable, prices, product and service descriptions, business hours, telephone numbers, addresses, policies, professional credentials, legal disclosures, refund policies, regulatory disclosures, and customer instructions. CUZAKE may help organize or present information but does not assume responsibility for the underlying accuracy or legality of the Customer's business information.
6. Customer Approval
When CUZAKE provides material for Customer review or approval, the Customer is responsible for reviewing it carefully. Approval indicates that the Customer accepts the material as presented unless otherwise agreed in writing. Changes requested after approval may constitute additional work and may result in additional fees. CUZAKE is not responsible for errors contained in Customer-supplied information that the Customer subsequently approves.
7. Third-Party Services
CUZAKE Services may rely upon or integrate with third-party products, platforms, telecommunications providers, hosting companies, domain registrars, artificial intelligence providers, software services, analytics providers, payment providers, email providers, APIs, and other technology. CUZAKE does not own or control these third-party services. Third-party services may change features, prices, usage limits, policies, APIs, technical requirements, or availability. They may also experience outages, security incidents, suspension, or discontinuation.
CUZAKE cannot guarantee the continuous availability, performance, pricing, functionality, compatibility, or policies of third-party services. Where reasonably possible, CUZAKE may help identify alternatives or modify a configuration when a third-party change materially affects a CUZAKE Service. Additional work resulting from third-party changes may require additional fees depending on scope.
8. AGENT — AI-Powered Services
AGENT uses artificial intelligence technology to provide automated website customer support. Artificial intelligence systems may occasionally produce inaccurate, incomplete, unexpected, outdated, or inappropriate responses. CUZAKE configures AGENT to operate within an intended business scope, but no AI system can be guaranteed to produce perfect responses in every situation.
- AGENT is automated technology.
- AI-generated responses may contain errors.
- AGENT should not replace appropriate human judgment.
- AGENT should not be relied upon for emergencies.
- AGENT should not be treated as a licensed professional unless expressly configured and legally authorized for such use.
- Customers remain responsible for determining whether AGENT is appropriate for their business.
- Human review may be appropriate for important business decisions or sensitive matters.
CUZAKE does not guarantee that AGENT will answer every question correctly.
9. AGENT Business Knowledge
AGENT responses may depend substantially on information supplied or approved by the Customer. The Customer is responsible for informing CUZAKE when relevant business information changes, including prices, business hours, services, products, policies, contact information, promotions, availability, procedures, or customer instructions. CUZAKE is not responsible for incorrect AI responses caused by outdated, inaccurate, incomplete, or misleading information supplied or approved by the Customer.
10. AGENT Customer Interactions
Members of the public may enter unpredictable, inaccurate, inappropriate, malicious, irrelevant, or intentionally misleading information into an AI-powered service. CUZAKE cannot control what third parties enter into an AGENT conversation. AGENT may be configured with safeguards and scope restrictions, but no technical safeguard is guaranteed to prevent every misuse or unexpected response. Customers may not intentionally configure or use AGENT for unlawful, deceptive, fraudulent, harmful, or abusive purposes.
11. No Professional Advice Through AI
Unless specifically agreed in writing and legally appropriate, AGENT is not intended to provide legal, medical, mental-health, financial, tax, emergency, or other regulated professional advice. Customers are responsible for ensuring their use of AGENT complies with laws and professional requirements applicable to their industry.
12. AGENT Usage and Limits
AGENT plans may include usage limits, conversation allowances, technical limits, or other service parameters. Where applicable, those limits will be communicated through the applicable Service description, order, proposal, account information, or Customer communication. CUZAKE may contact Customers whose usage materially exceeds the level associated with their Service to discuss an appropriate Service adjustment. CUZAKE reserves the right to protect the security, stability, and reasonable operation of its systems and third-party systems.
13. BRAND Services
BRAND is a professional digital presence service. BRAND may involve website creation or modification, content organization, messaging, digital visual presentation, customer experience improvements, or other agreed services.
BRAND does not guarantee increased sales, revenue, search-engine rankings, website traffic, customer acquisition, leads, conversion rates, social-media performance, profitability, or market success. Business outcomes depend on factors outside CUZAKE's control.
14. Existing Websites and Systems
When CUZAKE works with an existing website, account, domain, application, platform, or Customer system, CUZAKE cannot guarantee that the existing system will support every requested feature. Compatibility may depend on platform limitations, account permissions, hosting restrictions, existing code, plugins, themes, integrations, provider policies, security configurations, or the technical condition of the existing system. Additional work may be required if unexpected technical issues are discovered.
15. Customer Changes to Digital Services
CUZAKE is not responsible for problems resulting from changes made by the Customer, Customer employees, contractors, other designers or developers, hosting providers, plugins, software updates, or third-party integrations after CUZAKE has configured, delivered, or approved a working implementation. Additional work required to diagnose or repair such changes may be separately billable.
16. VOICE Services
VOICE is a managed business telephone service. Standard VOICE pricing currently includes:
- $10 per month for a standard local business number.
- $10 one-time setup fee.
- $0.10 per minute of telephone usage.
Applicable taxes, telecommunications charges, regulatory fees, or other required charges may also apply. Special, vanity, memorable, or specifically requested telephone numbers may carry additional fees. Any additional fee for a requested special number will be communicated before selection or purchase when reasonably possible. VOICE is currently offered as a monthly service. There is no annual VOICE plan unless CUZAKE expressly introduces one in the future.
17. Telephone Usage Charges
Telephone usage varies by Customer. Customers are responsible for charges generated through their assigned VOICE number according to applicable pricing. Usage may include legitimate calls as well as calls generated by third parties, including wrong numbers, unsolicited calls, spam, telemarketing, or fraudulent activity, to the extent such usage results in charges from the underlying telephone system. CUZAKE does not control who calls a publicly accessible telephone number. The Customer remains responsible for applicable usage charges associated with the Customer's VOICE service except where CUZAKE determines that a billing error occurred.
18. Telephone Numbers
Telephone numbers are subject to availability. CUZAKE does not guarantee that a requested area code, digit sequence, vanity number, memorable number, or specific telephone number will be available. A standard VOICE number may be selected from available numbers within the requested service area. Special-number requests may carry additional costs.
19. Telephone Number Portability and Ownership
VOICE may rely on third-party telecommunications providers. Telephone-number availability, assignment, portability, transfer, release, and continued use may therefore be subject to third-party carrier requirements and fees. A telephone number assigned through CUZAKE should not be assumed to be permanently owned by the Customer solely because the Customer uses that number. If a Customer wishes to transfer or port a number to another provider, the Customer must contact CUZAKE before canceling VOICE service. Portability is not guaranteed. Third-party providers may impose transfer, porting, administrative, or other charges. Applicable third-party charges are the Customer's responsibility unless otherwise agreed in writing. Customers should complete any approved number-transfer process before cancellation to reduce the risk that the number is released or becomes unavailable.
20. Telephone Service Limitations
VOICE depends upon telecommunications networks and third-party infrastructure. CUZAKE does not guarantee uninterrupted telephone service. Service may be affected by carrier outages, Internet outages, network congestion, power failures, device problems, incorrect forwarding numbers, Customer configuration changes, provider maintenance, spam filtering, regulatory requirements, or other events outside CUZAKE's reasonable control. Customers are responsible for ensuring that telephone numbers or devices designated to receive forwarded calls are operational and capable of receiving calls.
21. VOICE Is Not an Emergency Service
Unless CUZAKE expressly provides a service specifically designated and configured for emergency calling, Customers should not rely upon VOICE as a replacement for traditional emergency telephone services. Customers should maintain appropriate access to emergency services independently.
22. Other Services
Graphics, video, voiceover, UX, consulting, and other complementary Services are project-based unless otherwise stated. Scope, deliverables, schedule, revisions, and pricing may vary by project. No standard scope or price should be assumed unless expressly stated in writing by CUZAKE.
23. Fees and Payment
Customers agree to pay all applicable fees associated with Services they purchase or use. Fees may include subscription charges, setup charges, usage charges, project fees, third-party costs, special-number charges, taxes, telecommunications or regulatory charges, and additional work approved by the Customer.
Prices displayed as "starting at" represent minimum pricing and do not guarantee that every Customer configuration will qualify for that price.
24. Recurring Monthly Services
Monthly Services continue until canceled according to the applicable cancellation procedure. The Customer is responsible for recurring charges incurred before cancellation becomes effective. Canceling one CUZAKE Service does not automatically cancel other separately purchased Services.
25. Payment Failure
CUZAKE may suspend or terminate Services when payment is past due, declined, reversed, improperly disputed, or otherwise not received when due. Suspension may affect AGENT availability, website-related Services, telephone service, telephone numbers, hosting, third-party integrations, or other managed Services. CUZAKE is not responsible for losses resulting from a suspension caused by Customer nonpayment. The Customer remains responsible for amounts incurred before suspension or termination.
26. Billing Questions and Disputes
Customers should review invoices and charges promptly. Billing questions or disputed charges should be submitted to CUZAKE in writing within 60 days of the applicable invoice or charge. The Customer should identify the disputed amount and explain the basis for the dispute. This provision does not eliminate any non-waivable rights available under applicable law.
27. Taxes and Governmental Fees
Prices may not include all taxes, telecommunications assessments, regulatory charges, governmental fees, or similar charges. Customers are responsible for applicable charges required by law or imposed in connection with their Services.
28. Cancellation
Customers may request cancellation of recurring CUZAKE Services. Cancellation procedures may vary depending on the Service. Cancellation does not automatically:
- Refund charges already incurred
- Eliminate outstanding balances
- Reverse usage charges
- Preserve telephone numbers
- Transfer domains
- Transfer third-party subscriptions
- Transfer telephone numbers
- Preserve third-party accounts indefinitely
Customers are responsible for completing necessary transfer or export activities before cancellation where applicable.
29. Refunds
Unless otherwise expressly stated in writing or required by law, setup fees, completed project work, consumed usage, third-party costs, specially acquired assets, telephone-number fees, and Services already provided are non-refundable. Any approved refund will be determined according to the specific Service, work completed, expenses incurred, and applicable law.
30. Suspension or Termination by CUZAKE
CUZAKE may suspend or terminate Services when reasonably necessary because of nonpayment, fraud, suspected fraud, security threats, abuse, illegal activity, violation of these Terms, misuse of third-party services, material risk to CUZAKE systems or customers, or requirements imposed by law or a third-party provider. Where practical, CUZAKE may provide notice and an opportunity to correct the issue. Immediate suspension may occur when necessary to protect systems, people, third parties, or legal compliance.
31. Acceptable Use
Customers may not use CUZAKE Services to:
- Violate applicable law
- Commit fraud
- Mislead or impersonate others
- Harass, threaten, or abuse others
- Infringe intellectual-property rights
- Violate privacy rights
- Distribute malware
- Attempt unauthorized system access
- Interfere with systems or networks
- Conduct unlawful spam activities
- Facilitate unlawful activity
- Circumvent technical safeguards
- Attempt to obtain confidential system information
- Reverse engineer protected CUZAKE systems except where law expressly permits
- Materially harm CUZAKE, its providers, customers, or third parties
CUZAKE may restrict or terminate prohibited use.
32. Customer Security Responsibilities
Customers are responsible for maintaining the confidentiality and security of credentials, passwords, devices, and accounts under their control. Customers must promptly notify CUZAKE if they reasonably believe a CUZAKE-related account or credential has been compromised. CUZAKE is not responsible for unauthorized activity resulting from Customer failure to reasonably protect Customer-controlled credentials or devices.
33. Intellectual Property
CUZAKE retains ownership of its pre-existing intellectual property, including its brand, trademarks, service names, frameworks, processes, methods, templates, internal systems, software, reusable components, know-how, documentation, and configuration methods. Customer ownership of specifically commissioned deliverables, where applicable, will be determined by the applicable written project agreement or scope. Third-party assets remain subject to their respective licenses.
No Customer receives ownership of third-party software, AI models, telecommunications systems, hosting platforms, stock assets, fonts, plugins, or other licensed technology merely because those items are used in a CUZAKE project.
34. Customer Data
CUZAKE's collection and handling of personal information is described in the CUZAKE Privacy Policy. Customers are responsible for ensuring that information they instruct CUZAKE to collect, process, publish, transmit, or integrate is lawfully obtained and used. Where a Customer uses CUZAKE Services to interact with its own customers, website visitors, callers, employees, or other individuals, the Customer remains responsible for legal obligations applicable to that Customer's business and data practices.
35. Confidential Information
CUZAKE and the Customer may receive nonpublic business or technical information from one another. Each party should use reasonable care to protect confidential information and use it only for purposes reasonably related to the Services. Confidential information does not include information that is publicly available through no breach of obligation, already lawfully known, independently developed, lawfully received from another source, or required to be disclosed by law.
36. Service Changes
Technology changes. CUZAKE may modify Services, features, configurations, pricing, or these Terms as the business and underlying technologies evolve. Material changes affecting an existing paid Service will be communicated when reasonably appropriate. Continued use after updated Terms become effective constitutes acceptance to the extent permitted by law. Changes to recurring pricing will apply prospectively rather than retroactively unless required because of taxes, governmental charges, usage, or other circumstances disclosed to the Customer.
37. Service Availability
CUZAKE aims to provide reliable Services but does not guarantee uninterrupted or error-free operation. Maintenance, updates, third-party failures, network failures, security events, or circumstances outside CUZAKE's reasonable control may temporarily affect availability.
38. No Guarantee of Business Results
CUZAKE provides tools and professional services intended to support businesses. CUZAKE does not guarantee revenue, profit, customers, leads, sales, search rankings, traffic, conversions, business growth, customer retention, customer satisfaction, competitive advantage, or any particular business result. The Customer remains responsible for business decisions and outcomes.
39. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CUZAKE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." CUZAKE DISCLAIMS WARRANTIES NOT EXPRESSLY PROVIDED IN A WRITTEN AGREEMENT, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE, TO THE EXTENT SUCH WARRANTIES MAY LAWFULLY BE DISCLAIMED. CUZAKE DOES NOT WARRANT THAT SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, COMPLETELY SECURE, OR SUITABLE FOR EVERY BUSINESS PURPOSE. Nothing in these Terms excludes warranties or rights that cannot legally be excluded.
40. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CUZAKE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST BUSINESS OPPORTUNITIES, LOSS OF GOODWILL, OR LOSS OF DATA ARISING FROM OR RELATED TO THE SERVICES. TO THE MAXIMUM EXTENT PERMITTED BY LAW, CUZAKE'S AGGREGATE LIABILITY ARISING FROM OR RELATED TO A PARTICULAR SERVICE OR CLAIM WILL NOT EXCEED THE AMOUNT PAID BY THE CUSTOMER TO CUZAKE FOR THE SERVICE GIVING RISE TO THE CLAIM DURING THE SIX MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. This limitation does not apply where applicable law prohibits such limitation.
41. Indemnification
To the extent permitted by law, the Customer agrees to defend, indemnify, and hold harmless CUZAKE and its owners, personnel, contractors, and agents from third-party claims, damages, liabilities, costs, and reasonable legal fees arising from Customer Content, Customer products or services, violation of law, misuse of CUZAKE Services, infringement of third-party rights, Customer instructions implemented by CUZAKE, unlawful collection or use of information, or violation of these Terms. CUZAKE will provide reasonable notice of covered claims when practicable.
42. Force Majeure
CUZAKE will not be responsible for delays or failures caused by circumstances beyond its reasonable control, including natural disasters, severe weather, fire, war, terrorism, civil unrest, government action, labor disruptions, power outages, Internet outages, telecommunications failures, cloud-provider outages, cyberattacks, third-party service failures, or similar events.
43. Changes Outside Agreed Scope
Work outside an agreed scope may require additional time and fees. CUZAKE will determine whether a requested change falls within the existing Service or constitutes additional work. Where appropriate, additional work will be communicated before substantial out-of-scope work begins.
44. Communications
Customers consent to receive communications reasonably necessary to provide or administer CUZAKE Services, including service notices, billing communications, security notices, account communications, project communications, usage notices, and service changes. Marketing communications, where applicable, will be handled according to applicable law and the CUZAKE Privacy Policy.
45. Electronic Agreement
Electronic acceptance, online purchase, checkbox acceptance, digital authorization, or use of Services after presentation of these Terms may constitute agreement to these Terms to the extent permitted by applicable law. Electronic records may be used to document Customer acceptance and transactions.
46. Governing Law
These Terms will be governed by the applicable laws identified in CUZAKE's final legal business documentation, without regard to conflict-of-law principles, except where applicable law requires otherwise.
47. Dispute Resolution
Before initiating formal legal proceedings, CUZAKE and the Customer agree to make a reasonable good-faith effort to resolve disputes directly. A Customer should provide written notice describing the nature of the dispute, relevant Service, relevant transaction, and requested resolution. CUZAKE will have a reasonable opportunity to review and respond. Additional dispute-resolution provisions may be incorporated after legal review.
48. Severability
If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions remain effective to the maximum extent permitted by law.
49. No Waiver
Failure by CUZAKE to enforce a provision of these Terms does not waive CUZAKE's right to enforce that provision later.
50. Assignment
Customers may not assign their rights or obligations under these Terms without CUZAKE's prior written consent, except where applicable law provides otherwise. CUZAKE may assign these Terms in connection with a merger, acquisition, reorganization, sale of business assets, or similar transaction, subject to applicable law.
51. Entire Agreement and Order of Precedence
These Terms, the Privacy Policy, applicable Service descriptions, approved proposals, order forms, invoices, scopes of work, and other written agreements between CUZAKE and the Customer collectively govern the applicable Services. If a separately signed written agreement expressly states that one of its provisions overrides these Terms, that provision controls for the applicable Service.
52. Headings
Section headings are provided for convenience and do not limit the meaning of these Terms.
53. Survival
Provisions that by their nature should survive termination—including payment obligations, intellectual-property provisions, disclaimers, limitations of liability, indemnification, confidentiality, and dispute provisions—will survive termination to the extent permitted by law.
54. Contact
Questions concerning these Terms may be submitted through the CUZAKE Contact page. Customers may select General Question and identify the inquiry as relating to the CUZAKE Terms and Conditions.
Acknowledgment
By purchasing, subscribing, authorizing, accessing, or using CUZAKE Services, you acknowledge that you have read and understood these Terms and agree to be bound by them.
